Churchill Downs Announces Final Results of Cash Tender Offer
LOUISVILLE, Ky., Feb. 12, 2018 (GLOBE NEWSWIRE) -- Churchill Downs Incorporated ("CDI") (NASDAQ:CHDN) today announced the final results of its "modified Dutch auction" tender offer, which expired at 11:59 p.m., New York City time, on February 7, 2018.
Based on the final count by American Stock Transfer & Trust Company, LLC, the depositary for the tender offer, CDI has accepted for payment 1,886,792 shares of CDI's common stock at a purchase price of $265 per share, for a cost of approximately $500,000,000, excluding fees and expenses related to the tender offer. The repurchased shares represent approximately 12.3% of CDI's common shares issued and outstanding as of February 6, 2018.
Because the aggregate purchase price for all shares properly tendered at or below the purchase price and not properly withdrawn before the expiration date would have exceeded $500,000,000, such shares were accepted for payment on a pro rata basis, except for "odd lots," which were accepted in full, and certain shares subject to conditional tenders. CDI has been informed by the depositary that the proration factor for the tender offer is approximately 83.7%. The depositary will promptly pay for all shares accepted for payment and will return all other shares tendered.
